Startup Non Compete Agreements

The Ontario Court of Appeal`s decision in Mason v. Chem-Trend Limited Partnership (trend Chem) provides a summary of the law in Ontario with respect to the applicability of non-compete agreements. In general, a deconcurrence agreement can be implemented if appropriate. This means that not only the extent of the activity prohibited to the worker must be proportionate, but also the time during which the worker is prohibited from working and the geographical place where he is not allowed to exercise it. Moreover, the agreement cannot effectively serve as a trade restriction. Note, however, that in some cases any restriction is inappropriate and no standard set of conditions can be used with the assurance that a court will approve it. Your lawyer can tell you if these arguments are valid in your state and offer other arguments. He or she can also help you cancel the agreement or negotiate new terms that you can live with. Remember that a consultation costs much less than defending a lawsuit. Is that really it? Do you think that the pre-series A entrepreneur, who employs 10 people, is not exposed to a key employee who leaves with everything she has learned and takes her elsewhere? There are valid arguments as to why non-competitors need to be properly sized for the circumstances and why very large companies should perhaps not reap the same benefits as small companies. And also that subordinate collaborators should get more freedom than employees closer to the basic IP/trade secret.

The courts already think of her like that. In other countries, non-competition rules may be applied if the agreements protect a legitimate business interest (e.g. .B confidential information or customer relationships are reasonably formulated over time and geographically (and, in some countries, the extent of the obligations covered).
